All advertising accounts, campaign data, creative assets, audience lists, conversion data, and other materials created or managed within the Client's advertising accounts are and shall remain the sole property of the Client at all times. DMM IT LTD operates within Client accounts using delegated manager access and does not claim ownership of any Client data or account assets. Upon termination of services, the Client retains full ownership and access to all accounts and data. DMM IT LTD will remove its manager access within a reasonable timeframe following termination.

6. Platform Compliance

All campaigns managed by DMM IT LTD will be created and operated in compliance with the policies and terms of service of the relevant advertising platforms, including but not limited to Google Ads policies, Microsoft Advertising policies, Meta advertising policies, and LinkedIn advertising policies. The Client acknowledges that platform policies may change and that such changes may affect campaign strategies and performance. DMM IT LTD will notify the Client of any policy changes that materially impact their campaigns and will adjust strategies accordingly.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information shared during the course of the engagement. This includes, but is not limited to, business strategies, financial data, customer data, campaign performance data, trade secrets, and any other information designated as confidential. Confidential information shall not be disclosed to third parties without the prior written consent of the disclosing party, except where required by law or regulation. This obligation of confidentiality shall survive the termination of these Terms for a period of two (2) years.

8. Limitation of Liability

DMM IT LTD provides services with reasonable skill and care. However, we do not guarantee specific advertising outcomes, campaign performance metrics, or return on investment, as these are influenced by factors beyond our control, including market conditions, competitor activity, platform algorithm changes, and Client decisions.

Either party may terminate these Terms and the associated service agreement by providing written notice in accordance with the notice period specified in the service agreement. In the absence of a specified notice period, either party may terminate with thirty (30) days' written notice. Upon termination:

Any intellectual property, methodologies, tools, templates, or frameworks developed by DMM IT LTD independently of the Client engagement remain the property of DMM IT LTD. Campaign-specific creative work, ad copy, and strategies produced for the Client as part of the agreed services are the property of the Client upon full payment of applicable fees. Neither party shall use the other party's trademarks, logos, or brand assets without prior written consent.

11. Force Majeure

Neither party shall be held liable for any failure or delay in performing obligations under these Terms where such failure or delay arises from circumstances beyond the reasonable control of the affected party. This includes, but is not limited to, natural disasters, acts of government, changes in law or regulation, internet or telecommunications failures, power outages, pandemics, strikes, or platform outages. The affected party shall notify the other party promptly and make reasonable efforts to mitigate the impact of such events.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of United Kingdom. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom. Both parties agree to attempt to resolve any disputes amicably through good-faith negotiation before initiating legal proceedings.

DMM IT LTD reserves the right to update or modify these Terms at any time. Changes will be posted on this page with an updated revision date. Material changes will be communicated to active Clients via email. Continued use of our website or services after any changes constitutes acceptance of the revised Terms. If you do not agree with any changes, you must discontinue use of our services.
